Become a GhostCat Dealer

These are the terms that govern authorized GhostCat dealers. If your application is approved, you’ll be asked to sign a Dealer Agreement containing these terms. The Agreement becomes effective only upon GhostCat’s written acceptance.

1. Appointment. GhostCat appoints Dealer as a non-exclusive authorized reseller of GhostCat products, subject to GhostCat’s approval and these terms. No exclusive territory is granted unless separately agreed in writing.

2. Orders & Pricing. All orders are subject to acceptance by GhostCat and to GhostCat’s current wholesale price list, which may be updated from time to time.

3. Payment Terms. Dealer agrees to pay all invoices in full by the due date shown on the invoice, unless other arrangements are made in writing. Credit-card payments are subject to a 3% processing surcharge where permitted by law. Past-due balances may accrue interest at the maximum rate permitted by law. If GhostCat must take legal action to enforce payment, Dealer agrees to pay reasonable costs of collection, including reasonable attorneys’ fees, to the extent permitted by law.

4. Credit Verification. Dealer authorizes GhostCat to verify the information provided and to obtain and exchange credit information with credit-reporting agencies, trade references, and suppliers to establish and review Dealer’s account.

5. Minimum Advertised Price (MAP). Dealer agrees to comply with GhostCat’s Minimum Advertised Price (MAP) Policy, as published and updated from time to time. The MAP Policy governs only the price at which products may be advertised; it does not restrict the actual price at which Dealer sells products, and Dealer remains free to set its own resale prices. The MAP Policy is a unilateral policy of GhostCat, and violations may result in suspension or termination of Dealer’s authorized status.

6. Term & Termination. This Agreement continues until terminated. Either party may terminate for convenience on 30 days’ written notice. GhostCat may terminate immediately for breach, non-payment, or MAP violations. Termination does not relieve Dealer of payment obligations for products already ordered or delivered.

7. Personal Guarantee. If Dealer is a corporation, LLC, partnership, or other entity, the individual who signs as Guarantor personally and unconditionally guarantees full and timely payment of all amounts owed by Dealer to GhostCat. This guarantee continues until all amounts are paid in full and survives termination of this Agreement.

8. Authority & Accuracy. Each person who signs represents that they are authorized to do so on behalf of the party for whom they sign, and that all information provided is true and correct.

9. Governing Law. This Agreement is governed by the laws of the State of California, and the parties consent to the exclusive jurisdiction and venue of the courts located in Orange County, California.

10. Entire Agreement; Amendment. This Agreement, together with GhostCat’s wholesale price list and MAP Policy, is the entire agreement between the parties on its subject matter and may be amended or terminated only in a writing signed by both parties, except that GhostCat may update its price list and MAP Policy as provided above.

11. Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

12. Electronic Signature. The parties agree this Agreement may be signed electronically and that electronic signatures are valid and binding under the ESIGN Act and applicable state law (UETA).
